1. Agreement to Terms
These Terms of Service (“Terms”) constitute a binding agreement between Moner Bondhu Ltd. (“Moner Bondhu,” “we,” “our,” or “us”) and the entity that accepts these Terms (“Customer” or “Employer”). These Terms govern Customer’s access to and use of the Super Employee platform and all related tools, applications, dashboards, assessments, analytics, content, and services (collectively, the “Services”).
By executing an Order Form, creating an administrative account, or otherwise accessing the Services, Customer agrees to be bound by these Terms.
2. Definitions
- Authorized Users means employees, contractors, or other individuals whom Customer permits to access the Services.
- Customer Data means all data, content, and information submitted, uploaded, or provided by Customer or its Authorized Users in connection with the Services.
- Aggregated Data means anonymized and de-identified information derived from Customer Data.
- Order Form means the ordering document executed between Moner Bondhu and Customer specifying subscription terms.
- Documentation means user guides, product descriptions, and other technical materials provided by Moner Bondhu.
3. Account Registration & Access
Customer is responsible for providing accurate information during account creation and for ensuring Authorized Users maintain secure login credentials. Customer is responsible for all activities conducted under its accounts.
4. Customer Obligations
Customer agrees to:
- Ensure Authorized Users comply with these Terms.
- Use the Services solely for internal business purposes.
- Not use the Services to monitor, target, discriminate, or take adverse actions against individual employees.
- Not misuse, copy, reverse engineer, or disrupt the Services.
5. Moner Bondhu Obligations
Moner Bondhu shall:
- Provide access to the Services as described in the Order Form.
- Maintain industry-standard security measures.
- Use commercially reasonable efforts to make the Services available except for planned downtime or circumstances beyond our control.
6. Fees & Payment
Subscription fees, payment terms, and billing cycles are defined in the applicable Order Form. Except as expressly stated, all fees are non-refundable. Customer is responsible for taxes and government charges.
7. Data Rights & Usage
7.1 Customer Data
Customer retains all rights to Customer Data. Customer grants Moner Bondhu a limited license to use Customer Data solely to:
- Provide, maintain, and improve the Services;
- Generate Aggregated Data for analytics and benchmarking;
- Ensure compliance with these Terms.
7.2 Privacy and Confidentiality
Individual employee-level well-being data is confidential and will not be shared with Customer, except as explicitly permitted by law or with employee consent. All Employer-accessible data is aggregated and anonymized.
7.3 Aggregated Data
Moner Bondhu may use Aggregated Data for research, analytics, product improvement, and industry benchmarking. Aggregated Data does not identify any individual or Customer.
8. AI Features
Some components of the Services use artificial intelligence (“AI”) or machine learning models. AI-generated insights are for informational purposes only and shall not be considered medical, legal, or employment advice. Customer agrees not to use AI outputs as the sole basis for disciplinary or employment decisions.
9. Counseling & Support Services
If Customer’s subscription includes counseling services, counseling sessions are confidential between the employee and the licensed professional. Counseling content is never shared with Customer.
10. Intellectual Property
Moner Bondhu retains all rights, title, and interest in the Services, including software, features, AI models, and Documentation. Customer obtains no rights other than those expressly granted in these Terms.
11. Confidential Information
Both parties agree to keep confidential all non-public information disclosed by the other party. This obligation survives termination of the Services.
12. Warranty Disclaimer
The Services are provided “AS IS” and “AS AVAILABLE.” Moner Bondhu disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of Liability
To the maximum extent permitted by law, Moner Bondhu shall not be liable for indirect, incidental, special, or consequential damages. Moner Bondhu’s total cumulative liability will not exceed the amount paid by Customer in the 12 months preceding the event giving rise to the claim.
14. Indemnification
Customer agrees to indemnify and hold harmless Moner Bondhu from claims arising out of Customer’s misuse of the Services or violation of these Terms.
15. Term & Termination
These Terms remain in effect for the duration of the subscription. Either party may terminate the Services as outlined in the Order Form. Upon termination, Customer Data will be handled according to our Data Retention Policy.
16. Governing Law
These Terms are governed by the laws of Bangladesh unless otherwise defined in the Order Form.
